GM olarak biz s\u00fcregelen i\u015fbirli\u011fimizi gelecekteki heyecan uyand\u0131r\u0131c\u0131 yeni modellerde de s\u00fcrd\u00fcrerek ve ekonomik varl\u0131\u011f\u0131m\u0131z ile PSA\u2019in sundu\u011fu g\u00fc\u00e7l\u00fc de\u011fer yaratma kapasitesine ve gelecekteki ba\u015far\u0131lar\u0131na dahil olaca\u011f\u0131z\u201d diyerek son verdi.<\/p>\n<p><strong>Anla\u015fma t\u00fcm taraflar\u0131 uzun d\u00f6nemde g\u00fc\u00e7lendirecek<\/strong><\/p>\n<p>Ger\u00e7ekle\u015fen i\u015flem \u00f6nemli \u00f6l\u00e7ek ekonomilerine izin verecek ve sat\u0131n alma, \u00fcretim ve ARGE b\u00f6l\u00fcmlerinde \u00f6nemli sinerjilere imkan sa\u011flayacak. Opel\/Vauxhall\u2019un geri d\u00f6n\u00fc\u015f\u00fcne katk\u0131 sa\u011flayacak bu sinerjilerin, \u00f6nemli bir b\u00f6l\u00fcm\u00fc 2020\u2019ye kadar olacak \u015fekilde, 2026\u2019da 1,7 milyar euro\u2019luk rakamlara ula\u015fmas\u0131 bekleniyor. GM ile hayata ge\u00e7irilen ba\u015far\u0131l\u0131 i\u015fbirli\u011fi ile PSA Opel\/Vauxhall\u2019un 2020\u2019de y\u00fczde 2, 2026\u2019da ise y\u00fczde 6 faaliyet kar\u0131 elde etmesini ve 2020\u2019de serbest nakit ak\u0131m\u0131n\u0131 sa\u011flamas\u0131n\u0131 bekliyor.<\/p>\n<p><strong>PSA<\/strong>, BNP Paribas ile birlikte GM Financial\u2019\u0131n Avrupa aya\u011f\u0131n\u0131 da yeni olu\u015fturulan %50\/%50 ortak giri\u015fim ile sat\u0131n al\u0131yor. GM Financial\u2019\u0131n mevcut platformu ve ekibi korunacak ve BNP Paribas b\u00fcnyesinde y\u00f6netilecek. PSA ise \u00f6z kaynaklar y\u00f6netimi y\u00f6n\u00fcnden denetlemeyi yapacak. \u0130\u015flem GM\u2019in son \u00fc\u00e7 y\u0131lda rekor performans sergiledi\u011fi ve 2017\u2019de g\u00fc\u00e7l\u00fc g\u00f6r\u00fcn\u00fcm g\u00f6sterip hissedarlar\u0131na \u00f6nemli miktarda sermaye kazand\u0131rd\u0131\u011f\u0131 d\u00f6n\u00fc\u015f\u00fcm s\u00fcrecinin bir di\u011fer ad\u0131m\u0131. \u0130\u015flem GM\u2019in temel i\u015fleyi\u015fini g\u00fc\u00e7lendirecek, kaynaklar\u0131n geli\u015fmi\u015f teknolojiler gibi daha y\u00fcksek getiri sa\u011flayacak noktalara harcanmas\u0131n\u0131 sa\u011flayacak ve hissedarlar i\u00e7in daha fazla de\u011fer kazand\u0131racak.<\/p>\n<p>EBIT marj\u0131n\u0131 iyile\u015ftirip, serbest nakit ak\u0131\u015f\u0131n\u0131 art\u0131r\u0131p ve bilan\u00e7odaki risklerin \u00f6n\u00fcne ge\u00e7ecek bu i\u015flem sonras\u0131nda GM, sermaye tahsisi \u00e7er\u00e7evesinden nakit ihtiyac\u0131n\u0131 2 milyar dolar azaltacak ve bunu, pazar durumuna ba\u011fl\u0131 olarak hisselerini geri sat\u0131n almak i\u00e7in kullanacak. GM yeni olu\u015fumun gelecekteki ba\u015far\u0131lar\u0131na da PSA hisselerini sat\u0131n alma garantisi sayesinde ortak olabilecek. GM ve PSA ayr\u0131ca elektrik teknolojilerinin geli\u015ftirilmesinde i\u015fbirli\u011fi yapmay\u0131, Baz\u0131 Holden ve Buick modellerinde tedarik anla\u015fmalar\u0131n\u0131 s\u00fcrd\u00fcrmeyi hedefliyorlar. PSA ayr\u0131ca GM\/Honda yak\u0131t h\u00fccresi sistemleri ortak giri\u015fiminin tedarikinde de rol oynayabilir.<\/p>\n<p><strong>S\u00f6zle\u015fme Ko\u015fullar\u0131<\/strong><\/p>\n<p><strong>Opel<\/strong>\/<strong>Vauxhall\u2019un<\/strong> otomotiv operasyonlar\u0131 PSA taraf\u0131ndan 1,3 milyar euro kar\u015f\u0131l\u0131\u011f\u0131nda sat\u0131n al\u0131nacakt\u0131r. GM Financial\u2019\u0131n Avrupa operasyonlar\u0131, <strong>PSA<\/strong> ve BNP Paribas taraf\u0131ndan, i\u015flem kapan\u0131\u015f tarihindeki proforma defter de\u011ferinin 0,8 kat\u0131, ya da yakla\u015f\u0131k olarak 0,9 milyar Euro kar\u015f\u0131l\u0131\u011f\u0131nda ortakla\u015fa sat\u0131n al\u0131nacakt\u0131r. <strong>Opel<\/strong>\/<strong>Vauxhall\u2019un<\/strong> otomotiv operasyonlar\u0131 ve GM Financial\u2019\u0131n Avrupa operasyonlar\u0131n\u0131n %100\u2019\u00fc i\u00e7in yap\u0131lan i\u015flemin toplam de\u011feri 2,2 milyar Euro\u2019dur. Opel\/Vauxhall ve GM Financial&#8217;\u0131n Avrupa operasyonlar\u0131n\u0131n %50&#8217;si dahil olmak \u00fczere PSA taraf\u0131ndan ger\u00e7ekle\u015ftirilecek sat\u0131n alma i\u015fleminin de\u011feri 1.8 milyar Euro olacakt\u0131r.<\/p>\n<p>Bu i\u015flemle ba\u011flant\u0131l\u0131 olarak, GM veya i\u015ftirakleri 0,65 milyar Euro de\u011ferinde k hisse alma hakk\u0131na sahip olacaklard\u0131r. Bu hisslerin 9 y\u0131ll\u0131k vadesi bulunmaktad\u0131r ve \u00e7\u0131kar\u0131lmas\u0131ndan itibaren 5 y\u0131l sonras\u0131na kadar herhangi bir tarihte tamamen ya da k\u0131smen 1 euro\u2019luk i\u015flem fiyat\u0131ndan al\u0131nabilir. PSA hisselerinin 17.34 euro\u2019luk referans fiyat\u0131 g\u00f6z \u00f6n\u00fcne al\u0131nd\u0131\u011f\u0131nda, hisseler PSA hisselerinin 39,7 milyon adedine ya da PSA\u2019n\u0131n b\u00f6l\u00fcnm\u00fc\u015f sermayesinin y\u00fczde 4,2\u2019lik k\u0131sm\u0131na denk gelmektedir. GM, PSA nezdinde y\u00f6netime kat\u0131lma ve oy hakk\u0131na sahip olmayaca\u011f\u0131n\u0131 ve ald\u0131\u011f\u0131 PSA hisselerini 35 g\u00fcn i\u00e7inde sataca\u011f\u0131n\u0131 kabul etmi\u015ftir.<\/p>\n<p>\u0130\u015flem Opel\/Vauxhall\u2019un, Opel ve Vauxhall markalar\u0131, 6 montaj ve 5 par\u00e7a \u00fcretim tesisi, bir m\u00fchendislik merkezi (R\u00fcsselsheim, Almanya) ve yakla\u015f\u0131k 40 bin \u00e7al\u0131\u015fan\u0131 ile b\u00fct\u00fcn otomotiv operasyonunu, kapsamaktad\u0131r. Torino \u0130talya\u2019daki m\u00fchendislik merkezi GM \u2018de kalacakt\u0131r. Opel\/Vauxhall, otomobilleri \u00f6n\u00fcm\u00fczdeki y\u0131llarda PSA platformlar\u0131na ge\u00e7ene kadar GM\u2019in fikri m\u00fclkiyet lisanslar\u0131ndan faydalanmay\u0131 s\u00fcrd\u00fcrecektir. Bu i\u015flemle ba\u011flant\u0131l\u0131 olarak GM 4.0-4.5 milyar dolar tutar\u0131nda nakit olmayan har\u00e7lar\u0131 \u00fcstlenecektir.<\/p>\n<p><strong>Devam eden emekli fonu taahh\u00fctleri<\/strong><\/p>\n<p>Opel\/Vauxhall\u2019un b\u00fct\u00fcn Avrupa ve Birle\u015fik Krall\u0131k\u2019taki fonlanm\u0131\u015f ya da fonlanmam\u0131\u015f German Actives Plan ve se\u00e7ilmi\u015f baz\u0131 k\u00fc\u00e7\u00fck planlar hari\u00e7 t\u00fcm emeklilik planlar\u0131 GM\u2019de kalacakt\u0131r. German Actives Plan ve se\u00e7ilmi\u015f k\u00fc\u00e7\u00fck planlardaki sorumlulu\u011fu PSA Opel\/Vauxhall\u2019dan devralacakt\u0131r. GM PSA\u2019e 3 milyar euro emeklilik bor\u00e7lar\u0131n\u0131n kapanmas\u0131 i\u00e7in \u00f6deme yapacakt\u0131r.<\/p>\n<p><strong>Kapan\u0131\u015f \u015eartlar\u0131<\/strong><\/p>\n<p>Bu i\u015flem mevzuata ili\u015fkin resmi onaylar ve yeniden yap\u0131land\u0131rmalar i\u00e7eren birtak\u0131m kapan\u0131\u015f \u015fartlar\u0131na tabi olup, kapan\u0131\u015f\u0131n 2017 y\u0131l\u0131 sonuna kadar tamamlanmas\u0131 beklenmektedir.<\/p>\n<p><strong>Hisse Alma Garantisi<\/strong><\/p>\n<p>Hisse alma garantisinin sa\u011flanmas\u0131 PSA\u2019in 10 May\u0131s 2017 tarihinde ger\u00e7ekle\u015fecek Genel Kurul Toplant\u0131s\u0131nda hissedarlar\u0131n oyuna tabidir. PSA\u2019in hisselere b\u00f6l\u00fcnm\u00fc\u015f sermayesinin y\u00fczde 36,6\u2019s\u0131n\u0131 ve oy hakk\u0131n\u0131n y\u00fczde 51,5\u2019ini temsil eden \u00fc\u00e7 ana hissedar\u0131 (Fransa Devleti, Peugeot ailesi ve DongFeng) GM\u2019e hisse alma garantisinin verilmesi y\u00f6n\u00fcnde oy kullanacaklar\u0131n\u0131 beyan etmi\u015flerdir. GM ve i\u015ftiraklerine PSA Genel Kurul Toplant\u0131s\u0131nda hisse alma hakk\u0131 verilmesinin onaylanmamas\u0131 durumunda be\u015f y\u0131ll\u0131k s\u00fcre\u00e7 i\u00e7erisinde PSA 0,65 milyar euro\u2019luk nakdi \u00f6deme ger\u00e7ekle\u015ftirecektir.<\/p>\n<p><strong>PSA Grubu Hakk\u0131nda<\/strong><\/p>\n<p>2016\u2019da 54 milyar euro sat\u0131\u015f ve gelire ula\u015fan PSA Grubu, kendine \u00f6zg\u00fc otomotiv tecr\u00fcbeleri tasarlamakta ve d\u00fcnya \u00e7ap\u0131nda m\u00fc\u015fterilerine \u00f6zg\u00fcrl\u00fck ve keyif sa\u011flayan \u00e7\u00f6z\u00fcmler sunmaktad\u0131r. Grup, b\u00fcnyesinde \u00fc\u00e7 otomobil markas\u0131n\u0131 bar\u0131nd\u0131r\u0131yor: Peugeot, Citro\u00ebn ve DS. Bunlar\u0131n yan\u0131 s\u0131ra otomobil kullan\u0131c\u0131lar\u0131n\u0131n de\u011fi\u015fen ihtiya\u00e7lar\u0131na yan\u0131t vermek i\u00e7in Free2Move markas\u0131 alt\u0131nda ise mobilite ve ak\u0131ll\u0131 servis \u00e7\u00f6z\u00fcmleri sa\u011fl\u0131yor. PSA, 2016\u2019da kilometre ba\u015f\u0131na ortalama 102,4 graml\u0131k emisyon de\u011feri ile CO2 emisyonlar\u0131 alan\u0131nda Avrupa\u2019n\u0131n lideri konumundad\u0131r. Ayr\u0131ca PSA otonom ve ba\u011flant\u0131l\u0131 otomobiller alan\u0131nda d\u00fcnya \u00e7ap\u0131nda 2,3 milyon arac\u0131yla da \u00f6nc\u00fc konumda. Grup, Banque PSA Finance ile finans alan\u0131nda ve Faurecia ile de otomobil ekipmanlar\u0131 alan\u0131nda faaliyet g\u00f6stermektedir.<\/p>\n<p><strong>PSA Grubunun Gelece\u011fe Y\u00f6nelik A\u00e7\u0131klamalar\u0131<\/strong><\/p>\n<p>Bu bas\u0131n b\u00fclteni, PSA Grubunun, \u00f6zellikle GM\u2019in Opel\/Vauxhall i\u015ftirakinin ve GM Financial\u2019\u0131n Avrupa operasyonlar\u0131n\u0131n devral\u0131nmas\u0131 ve beklenen sinerjilere yo\u011funla\u015farak gelece\u011fe y\u00f6nelik hedeflerine dair a\u00e7\u0131klama ve bilgileri i\u00e7ermektedir.
